These Terms and Conditions ("Terms") govern your use of the website, photography services, proofing galleries, ordering services, SMS/MMS communications, and related services provided by The School Photo Company, operated by AMC PHOTO Inc. ("we," "our," or "us").

By using our website, placing an order, accessing a proofing gallery, submitting a contact form, or using our services, you agree to these Terms. SMS/MMS consent is separate and is governed by Section 9.

1. Use of Our Website and Services

You may use our website and services only for lawful purposes and in accordance with these Terms. You agree not to misuse our website, proofing galleries, images, passwords, QR codes, order forms, or customer service channels.

We may refuse service, cancel orders, restrict access, or terminate access if we reasonably believe user conduct violates applicable law, these Terms, school requirements, privacy rights, or the interests of AMC PHOTO, schools, parents, guardians, students, or customers.

2. School Photography Services

AMC PHOTO provides school photography services, including individual portraits, class photos, staff photos, graduation photos, event photos, proofing galleries, yearbook images, ID images, printed photo packages, digital images, and related services.

Services vary by school, event, contract, season, package, and availability. Schools may provide student, staff, class, grade, teacher, and contact information to coordinate picture day, identify students and staff, create galleries, deliver school-authorized files, and fulfill orders.

3. School Agreements and NYC Public Schools

A written agreement with a school, district, PTA, or other organization may contain additional or different requirements. That agreement controls to the extent it conflicts with these public website Terms.

When AMC PHOTO receives student personally identifiable information from New York City Public Schools ("NYCPS," formerly referred to as the NYC DOE) under a written agreement, AMC PHOTO will use and protect that information as required by the agreement and applicable student-privacy requirements. Additional information appears in our Privacy Policy.

References to NYCPS, the NYC DOE, or a vendor number identify contracting or vendor information only. They do not imply NYCPS endorsement, placement on a comprehensive approved-vendor list, or authorization to provide services to every school. School-specific contracting or written authorization applies where required.

4. Proofing Galleries, Passwords, QR Codes, and Access

Proofing galleries may be protected by private links, QR codes, passwords, access codes, or other security measures. You are responsible for keeping access information secure and sharing it only with authorized persons.

Proof images may be unedited and may be professionally edited before final printing or delivery. Final printed or digital products may differ slightly from online previews because of cropping, retouching, color correction, screen-display differences, print production, or product format.

You may not attempt to bypass gallery access controls or use another student's or customer's credentials without authorization.

5. Orders, Pricing, and Availability

Product pricing, package availability, discounts, coupons, shipping options, backgrounds, poses, and product offerings may change without notice.

AMC PHOTO may correct errors, update product information, refuse or cancel orders, or issue refunds if pricing, availability, product information, gallery information, or order information is incorrect.

Orders are processed based on the package, pose, background, image selection, shipping information, and other details submitted by the customer. The customer is responsible for reviewing this information before submitting an order.

6. Payment

Payment may be required at the time of order unless other written arrangements are made with a school or organization. Payment options may vary. Payment may be handled by third-party processors. By submitting payment information, you authorize the applicable processor to process the transaction.

7. Shipping and Delivery

AMC PHOTO may deliver products through a school or ship them through USPS, UPS, or another carrier. Delivery times are estimates and are not guaranteed unless expressly stated in writing.

Customers are responsible for providing complete and accurate delivery information. AMC PHOTO is not responsible for delays, lost packages, or delivery problems caused by incorrect or incomplete information provided by the customer. Risk of loss may pass to the customer when merchandise is delivered to the carrier, subject to applicable law.

8. Returns, Reprints, and Refunds

If there is a problem with an order, contact us through Customer Support as soon as possible. Depending on the issue, AMC PHOTO may offer a correction, reprint, replacement, refund, or another resolution.

Because school photo products are custom-created, returns and exchanges may be limited. Refunds, reprints, replacements, or credits are handled at AMC PHOTO's discretion unless otherwise required by law or stated in a separate written agreement or guarantee.

9. SMS/MMS Terms for AMC PHOTO School Photography Alerts

Messages may include picture-day scheduling updates, proof notifications, proof preview images, QR codes, gallery links, passwords, order confirmations, order status updates, delivery updates, and customer support messages.

Message frequency varies based on picture-day, proof, order, delivery, and support activity. Message and data rates may apply. Messages may be sent using an automated messaging system. Consent is not required as a condition of purchasing goods or services, and accepting these general Terms does not by itself constitute SMS consent.

STOP: Reply STOP to unsubscribe at any time. We may send one final message confirming the opt-out. No further messages for that program will be sent unless you provide new consent.

Wireless carriers are not liable for delayed or undelivered messages.

SMS consent applies only to the program and subject matter described when you opt in. Consent is not transferable to another sender or program. Transactional-message consent does not authorize promotional messages; any promotional messaging program will require separate consent where required.

We may use a messaging service provider, including Twilio, to deliver messages. We do not sell, rent, share, or transfer mobile phone numbers or messaging opt-in data or consent to third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

10. Email and Other Communications

AMC PHOTO may send service-related emails, order confirmations, proof notifications, customer support messages, invoices, and school photography communications. Marketing communications, if any, may include an unsubscribe option where required by law.

11. Intellectual Property

All website content, text, graphics, logos, designs, photographs, images, proof images, digital files, layouts, and other materials are owned by AMC PHOTO or its licensors unless otherwise stated.

You may view, download, or print website content only for personal, non-commercial, informational purposes, provided that copyright and proprietary notices remain intact.

You may not copy, reproduce, screenshot, download, remove watermarks, alter, distribute, sell, publish, or use AMC PHOTO images or proof images except as expressly permitted by AMC PHOTO or through a completed purchase.

12. Purchased Images and Personal Use

When you purchase printed products or digital images, you receive the product or usage rights described at the time of purchase. Unless expressly stated otherwise in writing, purchased images are for personal use only and may not be sold, licensed, commercially distributed, or used for advertising.

Schools may receive separate usage rights for school-authorized purposes such as yearbooks, ID cards, student records, classroom use, awards, internal school communications, or other authorized school deliverables.

13. Trademarks

All brand names, service names, logos, product names, and trademarks appearing on our website or materials are the property of their respective owners. Reference to a third-party product, service, or organization does not imply endorsement, sponsorship, or affiliation unless expressly stated.

14. Website Information and Errors

Website information may contain typographical errors, technical inaccuracies, outdated information, or product-availability errors. We may update website information, pricing, descriptions, policies, or services at any time without notice.

15. Third-Party Websites and Services

Our website, emails, text messages, proofing pages, or QR codes may link to third-party websites or services. We are not responsible for their privacy practices, content, policies, availability, or security.

16. Disclaimer of Warranties

Our website, content, proofing galleries, and services are provided on an "as is" and "as available" basis unless otherwise stated in writing.

To the fullest extent permitted by law, AMC PHOTO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

17. Limitation of Liability

To the fullest extent permitted by law, AMC PHOTO will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, lost business, loss of goodwill, or service interruptions, even if advised of the possibility of those damages.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

Use of our website and services is also governed by our Privacy Policy. Please review it for information about how we collect, use, disclose, retain, and protect personal information.

AMC PHOTO may provide notices, updates, disclosures, and other communications by posting them on our website, by email, by SMS/MMS where permitted, or by other reasonable means.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute will be handled in the appropriate state or federal courts located in New York, unless otherwise required by law or a controlling school agreement.

21. Severability and No Waiver

If any provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.

22. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a new effective date. Continued use of our website or services after updates are posted means you accept the updated Terms.
